copyright transfer - sample contract?

I need a contract for the transfer of a copyright, hopefully

something simple that I could maybe copy from the web & make whatever

changes necessary. The details being: I'm buying the rights to a

single photo (from a series of photographs) from a producer that used

a "work for hire" photgrapher ... I'm wondering how detailed the

agreement should be and exactly what it should include. I'm hoping

that someone could point me to a website that has examples of such an

agreement.

the basic language to use is "

"Upon full and complete payment of this invoice, all rights in perpetuity including the

copyright to the photo described herein are transfered to Frank Merkle , his heirs and

assigns. Seller warrants that he owns the all rights and copyright to said photograph and

transfers them to purchaser for the agreed upon amount. Seller agrees to emdemniy the

purchaser against any present and future claims by third parties including the creator of

the photographand any persons or properties whose likeness is in the photograph

described herein,"

make that last sentence:

"Seller agrees to emdemniy the purchaser against any present and future claims by third

parties including the creator of the photograph and any persons or properties whose

likeness is depicted in the photographic image."
