I have had similar problems with scanning negatives. I have found that

the spots are due to dust either on the negative or the scanner's lens. As for the grain, it is there on the negative, you just can't

see it with a normal print. If you print your scan you will see it

diminish. Reducing the scan resolution will hide it more.
